Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Evergreen platform (the "Service") operated by Evergreen ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age (or the legal gambling age in your jurisdiction, whichever is higher) to use the Service. By registering, you represent and warrant that you meet this requirement and that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including any laws governing sports wagering and online gaming.

The Service is intended solely for use in jurisdictions where accessing sports betting data and analytics tools is legal. It is your responsibility to determine whether your use of the Service is lawful where you are located.

2. Description of Service

Evergreen is a sports betting analytics platform that aggregates publicly available odds data and calculates expected value (EV) metrics to help users make more informed wagering decisions. The Service provides:

• Real-time odds comparisons across multiple sportsbooks
• Expected value and fair odds calculations using no-vig line modeling
• A personal bet tracker for logging and reviewing wagers
• Historical opportunity data and performance statistics

3. No Gambling Advice; Not a Financial Service

The Service is strictly informational and analytical in nature. We do not provide gambling advice, financial advice, or investment recommendations of any kind. All data, metrics, and content provided through the Service — including EV calculations, fair odds estimates, and opportunity scores — are provided for educational and informational purposes only.

Positive expected value does not guarantee profit. Sports betting involves substantial risk of financial loss, and past performance of any metric or model does not indicate future results. You assume full responsibility for any wagers you place. We strongly encourage responsible gambling practices.

4. Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate until you cancel.

• Free Trial: If offered a free trial, your payment method will be charged automatically at the end of the trial period unless you cancel before the trial ends.
• Cancellation: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing cycle; no partial refunds are issued for unused time.
• Price Changes: We may change subscription pricing with at least 14 days' notice delivered to your registered email address.
• Refunds: All fees are non-refundable except where required by applicable law.

Payments are processed by Stripe, Inc. We do not store your full payment card information. Stripe's terms of service apply to all payment transactions.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that we believe have been compromised or used in violation of these Terms.

You may not share your account credentials or allow others to access the Service using your account. Each subscription is for a single user only.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Scrape, crawl, or systematically extract data from the Service using automated tools
• Resell, sublicense, or redistribute any data or content from the Service
• Attempt to reverse-engineer, decompile, or circumvent any security measures
• Use the Service in any manner that could damage, disable, or impair its infrastructure
• Misrepresent your identity or affiliation in connection with your use of the Service
• Use the Service to develop a competing product or service

7. Intellectual Property

All content, software, algorithms, and materials comprising the Service are the property of Evergreen or its licensors and are protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use only.

Odds data is sourced from third-party providers. We make no representation as to the completeness, accuracy, or timeliness of third-party data.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data or calculations will be accurate or complete.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Evergreen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, gambling losses, or loss of goodwill, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim or (b) $50 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Evergreen and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

11. Responsible Gambling

We encourage all users to gamble responsibly. If you or someone you know may have a gambling problem, please seek help:

We reserve the right to restrict or terminate accounts where we have reason to believe a user may be experiencing problem gambling behaviors.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, the terms of which are incorporated herein by reference. We collect and use personal data as described in the Privacy Policy. By using the Service, you consent to such collection and use.

We do not sell your personal information to third parties. We may share data with service providers (e.g., Stripe for payments, email providers) solely to operate the Service.

13. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service, or any portion thereof, at any time with or without notice. We may also update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service immediately ceases. You may delete your account at any time by contacting us.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration shall be conducted on an individual basis only and not as a class, consolidated, or representative action.

16. Miscellaneous

These Terms constitute the entire agreement between you and Evergreen regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision does not constitute a waiver. You may not assign your rights under these Terms without our prior written consent.
